Massif Terms of Use outline the rules and regulations for accessing and using our services. Please read them carefully before proceeding. By accessing or using our platform, you acknowledge that you have read, understood, and agreed to these Terms of Use. Please do not use our services if you don't agree with our Terms of Use.

1. Platform and Service Description

Our website, https://massif.network/ and all *.massif.network subdomains (henceforth referred to as "Platform"), provides an AI-powered collaborative workspace for location management in film, TV, and advertising production. Users can manage locations, organise productions, and collaborate with their teams through our Platform (collectively, the "Services").

By using the Platform or Services, you agree to comply with and be legally bound by these Terms, whether or not you become a registered user. These Terms govern your access to and use of the Platform and Services and constitute a binding legal agreement between you and Massif. Please also read our Privacy Policy.

To use our Services, you must create an account. You are responsible for the accuracy of your account information and for keeping your credentials secure.

If you do not agree to these Terms, you have no right to obtain information from or otherwise continue using the Platform or Services.

2. Massif's Role

We offer you the right to use our Platform, which enables Users to manage locations, collaborate with team members, and organise productions. While we work to ensure a reliable experience, we do not control the content Users upload or create within the Platform.

You acknowledge that Massif has the right, but is not obligated, to monitor and administer the use of the Platform and verify information provided by our Users. For example, we may review, disable access to, remove, or edit content to:

1. Operate, secure and improve the Platform;
2. Ensure our Users' compliance with these Terms;
3. Comply with applicable law, the order or requirement of a court, law enforcement or other administrative agency or governmental body;
4. Address content that we determine is harmful or in any way not in compliance with these Terms;
5. Take actions set out in these Terms; and
6. Maintain and enforce any quality or eligibility criteria, including by removing content that violates these Terms.

Users acknowledge and agree that Massif administers its rules and policies, such as these Terms. Decisions about whether and how to apply them to a certain situation are taken at Massif's sole discretion.

Users agree to cooperate with and assist Massif in good faith, and to provide Massif with necessary information and take actions as may be reasonably requested by Massif with respect to any investigation undertaken by Massif regarding the use or abuse of the Platform.

3. User Conduct

1. Account Creation:

• Users must create an account to access and use our platform.
• Users are responsible for providing accurate and up-to-date information during the account creation process.

2. Proper Use:

• Users must use the platform solely for the purpose of location management, production planning, and related activities.
• Users must comply with all applicable laws and regulations while using our Platform.
• Users must not engage in any activity that may disrupt or interfere with the functioning of our Platform or its associated systems.
• Users must not attempt to gain unauthorized access to any part of our Platform or its users' accounts.

3. Content and Communication:

• Users are responsible for the accuracy and legality of any content they post, upload, or transmit through the platform.
• Users must not post or transmit any content that is unlawful, harmful, threatening, abusive, obscene, defamatory, or infringing upon intellectual property rights.
• Users must not engage in any form of harassment, including but not limited to, stalking, bullying, or hate speech.
• Users must not share or disclose any confidential or sensitive information through the platform without proper authorization.

4. Subscription and Access

Access to the Platform is provided on a subscription basis. Subscription tiers, pricing, and features are described on our pricing page at https://app.massif.network/pricing. Your subscription grants you a limited, non-exclusive, non-transferable right to use the Platform and Services in accordance with these Terms. Massif reserves the right to modify pricing with reasonable notice to existing subscribers.

5. Eligibility

Massif's Platform is solely intended for persons who are 18 years of age or older. The use of the Platform and its Services by anyone under 18 is prohibited.

By accessing our Platform, you confirm and warrant that you are 18 or older.

6. Intellectual Property

1. Ownership:

• All intellectual property rights, unless otherwise stated, including copyrights, trademarks, and patents, related to our Platform and its content, belong to us.
• Users are granted a limited, non-exclusive, and non-transferable license to access and use our platform for the purpose of managing locations and collaborating on productions through the Platform.

2. Content Ownership:

• Users retain ownership of the content they post, upload, or transmit through the platform.
• By sharing content on the Platform, Users grant us a limited, non-exclusive license to store, process, and display the content solely for the purpose of delivering the Services to that User. Massif will not use User content for marketing, promotional, or any other purpose beyond the technical operation of the Platform.
• Users and anyone else using our Platform is not allowed to monitor, copy, scrape/crawl, download, reproduce or otherwise use anything on our Platform for any commercial purpose without written permission from Massif.

7. Prohibited Activities

The following items are valid, to the extent applicable, to anyone using our Platform.

1. Unauthorized Access:

• You must not attempt to gain unauthorized access to any part of our Platform, including other users' accounts, databases, or any sensitive information.

2. Misuse of Information:

• You must not use any information obtained from our Platform for illegal or malicious purposes, including but not limited to hacking, identity theft, or unauthorized dissemination of personal information.

3. Offensive or Inappropriate content:

• You must not post, upload, or transmit any content that is defamatory, obscene, offensive, or pornographic in nature. This includes materials that promote violence, discrimination, or any form of illegal or harmful activities.

4. Unauthorized Modifications or Disruptions:

• You must not modify, disrupt, or interfere with the functioning of our Platform, its associated systems, or any third-party services connected to our Platform. This includes introducing viruses, malware, or any other malicious code.
• You must not frame, mirror, or otherwise incorporate any part of the Website into any other website without our express written authorization.

5. Violation of Terms of Use:

• You must not violate any of the terms and conditions outlined in these Terms. This includes breaching any provision, guideline, or policy specified in the agreement.
• Massif reserves the right to suspend or terminate any account registered on the Platform if the account is deemed to have violated these Terms or any other terms set forth by Massif.
• Massif also reserves the right to terminate any listed content from our Platform, if it is found to violate these Terms in any capacity.

8. Data Processing

Where we process personal data on your behalf in providing the Services, we act as a data processor and you act as the data controller. In that capacity we will:

• process that personal data only to provide the Services and in accordance with your instructions and applicable data-protection law (the Icelandic Act No. 90/2018 and the GDPR);
• apply the security, retention, deletion and breach-notification commitments set out in our Privacy Policy;
• not use your content, including your location database, to train any AI or machine-learning model, or for any purpose beyond providing the Services to you; and
• engage sub-processors only under written obligations equivalent to those above, and remain responsible for their performance.

These data-processing terms are incorporated into and form part of these Terms, and apply to every customer without the need for a separate agreement. 

9. Disclaimer of Liability

1.  Your use of the Platform and Services in any capacity is done at your own risk. We provide our platform and its content "as is" and "as available". The Platform, Services, content, and any other information provided is provided without any warranties, expressed or implied, regarding its reliability, accuracy, completeness, or suitability.

2.  Neither Massif or any other person or entity associated with Massif makes any representations or warranties about the accuracy or completeness of information or content available on or through our Platform or the content of any social media platform or third-party website linked to or integrated with our Platform. This does not affect any warranties which cannot be excluded or limited under applicable law.

3.  You acknowledge that Massif and our Platform are not liable for any delays, failure to perform or direct, indirect, incidental, consequential, or exemplary damages arising from the use or inability to use our Platform or our Services. This also applies to other damages, including but not limited to, punitive damages, personal injury, pain and suffering, emotional distress, loss of profits or revenue, loss of business or anticipated savings, loss of use, loss of goodwill or loss of any data.

4.  Massif is in no way responsible for any interruption of transmission to or from our Platform; any bugs, viruses, trojan horses, or the like that may be transmitted on or through our Platform; or any damages, losses, costs, expenses, or liabilities of any kind incurred as a result of any content posted or shared through our Platform.

10. Payment

Payment for access to the Platform is made directly to Massif based on the applicable subscription plan. Massif is not responsible for any payments made between Users and third parties in connection with their use of the Platform. All subscription fees are subject to the pricing terms displayed at the time of purchase.

11. Modification and Termination

We reserve the right to modify, suspend, or discontinue any part of our Platform or its Services at any time without prior notice. By using our Platform, you accept these Terms.

12. Force Majeure

Massif shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including, but not limited to, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, epidemics or disease, strikes or shortages of transportation facilities, fuel, energy, labour or materials.

13. Governing Law and Jurisdiction

These Terms and your use of the Platform and Services will be interpreted in accordance with the laws of the Republic of Iceland. Massif and you agree to submit to the jurisdiction of the District court of Reykjavík located in Reykjavík, Iceland, for any dispute, claim or controversy arising out or in connection with these Terms, the usage of our Platform or Services.
